CLUB CONSTITUTION
Blackwell Miners Welfare Cricket Club Constitution
1. Name
1a. The name of the Club is Blackwell Miners Welfare Cricket Club, hereafter to be referred to as "the club" and the club shall be affiliated to the England and Wales Cricket Board through the Derbyshire Cricket Board.
2. Aims and Objectives
2a. To foster and promote the sport of amateur cricket at all levels within the community and within the sport, providing opportunities for recreation, coaching and competition.
2b. To manage, maintain and develop the facilities at Blackwell Miners Welfare Sports Ground as members of the Sports Ground Committee.
2c. To ensure that all members, playing and non-playing, abide by the Laws of Cricket and behave in a sporting manner.
2d. To encourage all members to participate fully in the activities of the club.
2e. To ensure a Duty of Care to all members of the Club by adopting and implementing the ECB Safe Hands – Cricket’s Policy for Safeguarding Children and any future versions of the Policy.
3. Membership
3a. Membership of the club shall be open to anyone interested in the sport of cricket on application regardless of sex, age, disability, ethnicity, nationality, sexual orientation, religion or other beliefs.
3b. The Club Secretary will maintain a list of the registered members. The club may have different classes of membership and subscription on a non-discriminatory and fair basis. The club will keep subscriptions at levels that will not pose a significant obstacle to people participating.
3c. Application for membership of the club shall be by completion of a membership
application form, available from the Club Secretary, and by payment of the relevant
subscription/joining fees as determined by the Annual General Meeting of the club.
3d. No person shall be eligible to take part in the business of the club unless the appropriate subscription has been paid by the specified date or membership, in special circumstances, has been agreed by the Club members.
3e. No person shall be selected for any team unless the appropriate subscription has been paid by the specified date, unless they are deemed, by the club members to be a ‘guest player’.
3f. The club may refuse membership, or remove it, only for good cause, such as conduct or character likely to bring the club or cricket into disrepute. Appeal against refusal or removal may be made to the members of the Club and be decided by majority vote.
3g. All members will be subject to the regulations of the Constitution and by joining the club will be deemed to accept these regulations and any Codes of Conduct that the club has adopted.
3h. An annual membership subscription will be set each year by Club members at the Annual General Meeting.
3i. Annual membership subscriptions, any arrears and any other monies owed to the
Club must be paid in full to the Club before the first league match of the current season. Any member in arrears after this time will not be eligible for selection until such time as the amount owing is paid in full to the Club.
3j. The Club members will have power to award honorary life membership of the Club to any individual who, in the view of the members, has made or may make a significant contribution to the running of the Club. Honorary life members have the same playing and voting rights as full registered members but will not be required to pay the annual membership subscription set by the Club.
3k. The liability of members for any debt or charge incurred by the Club will be limited to the amount of any outstanding membership subscriptions.
4. Classes of Membership
There shall be several classes of membership available. These may include:
Full Member
Junior Member (Under 18 years of age at the beginning of the current year)
Non-playing Member
Honorary/ Life Member
A list of members in each category shall be maintained by the Secretary
5. Officers
The Officers of the club shall be as follows:
President
Chair
Secretary
Treasurer
Captains and Vice-Captains of each club team
Any other relevant position as agreed at a General Meeting of the Club, e.g. Junior
Cricket Manager, Club Welfare Officer, Club Development Officer.
The officers of the club plus any interested members will run the club. Dates and times of meetings will be advised to all members
6. Election of Officers
6a. All Officers shall be elected at the Annual General Meeting of the club from, and by, the members of the club.
6b. All Officers shall be elected for a period of one year, but shall be eligible for re-
election to the same office or to another office the following year.
6c. Nominations for elected officials can be made in writing – proposed and seconded – and submitted to the Secretary prior to the relevant meeting. Verbal nominations – proposed and seconded in the same way – may also be taken at an AGM.
7. Selection
Teams will be selected by any person or persons nominated at the A.G.M
8. General Meetings
8a. The Annual General Meeting of the club shall be held in January each year.
7 clear days notice of the Annual General Meeting shall be given to members.
8b Minutes will be kept of General Meetings and reviewed and confirmed as an accurate record at the next meeting.
8c. Only fully paid up members of the Club, and honorary life members, will be entitled to vote at a General Meeting. Any absent member may give written authorisation to any other member to vote on their behalf at a meeting – this authorisation must be signed by the absent member and lodged with the Secretary prior to the meeting. The President, Chairman, Secretary and Treasurer will not hold or cast such proxy votes.
8d. All matters, with the exception of changes to the club constitution, will be decided by a simple majority of members attending (including proxies) and voting. Voting will usually be on a show of hands. In the event of a tie the Chairman may exercise a casting vote. Where deemed appropriate, paper votes may be cast.
8e. Where a matter requires an urgent decision this may be taken by the Club Chairman and Secretary acting together. Any such decision will be reported to the next available meeting of the Club for ratification.
8f. The business of the Annual General Meeting shall be to:
1. Confirm the minutes of the previous meeting
2. Receive the accounts for the year from the Treasurer or his/her representative
3. Elect the Officers of the Club (i.e. President, Chair etc.)
4. Review club subscription rates and agree them for the forthcoming year
5. Transact any other business
9. Alterations to the Constitution
9a. Any proposed alterations to the club Constitution may only be considered at an
AGM. Any alteration or amendment must be proposed by a Full Member of the club and seconded by another Full Member. Such alterations shall be passed if supported by not less than two-thirds of those Full Voting Members present at the meeting.
10. Finance
10a. A Club Treasurer will be elected at each General Meeting and will hold office until the next Annual General Meeting. For the purposes of the Club’s accounts the financial year will end on 31st December
10b. All monies owed to the Club and all payments in respect of Club activities will be
processed through the Treasurer. Except as set out below the Treasurer will receive
and bank all monies due to the Club and record them and will arrange for the payment of all expenses which have been correctly incurred and authorised and will record them.
10c. The Members may authorise individual Club members to make purchases on
behalf of the Club and to reclaim the appropriate amount from the Treasurer on
production of the relevant receipt.
10d. Powers and responsibilities of the Treasurer:
1. The Treasurer will arrange to open or close Bank and/or Building Society
accounts - all account names must include Blackwell M.W.C.C
2. All accounts must require that withdrawals will require the authority of two
signatories.
10e. The Treasurer shall ensure that the club maintains adequate and appropriate
insurance to cover the activities of the club.
11. Property and Funds
11a. The property and funds of the club cannot be used for the direct or indirect private benefit of members other than as reasonably allowed by the Rules and all surplus income or profits shall be reinvested in the club.
11b. The club may also in connection with the sports purposes of the club:
1. sell and supply food, drink and related sports clothing and equipment
2. employ members and remunerate them for providing goods and services (excluding payment for playing), on fair terms set by the members without the person concerned being present
3. pay for reasonable hospitality for visiting teams and guests
4. indemnify members acting properly in the course of the running of the club against any liability incurred in the proper running of the club (but only to the
extent of its assets).
12. Discipline and Appeals
12a. Players , officials, members and supporters must adhere to the club code of conduct which prohibits racially abusive comments and actions against fellow players, officials, members, supporters and employees. Failure to comply with this instruction will result in disciplinary action being taken against the offenders(s) as specified in the Club/League constitution.
12b. Cases of indiscipline on or off the field or failure to comply with the Constitution must be reported formally in writing to the Chairman. An ad-hoc Committee, comprising the Captain, Vice-Captain, Club Chairman and Secretary will deal with all reported instances of indiscipline. (If the indiscipline involves one of these officers the remaining members will agree a replacement on the ad-hoc Committee.)
12c. The Disciplinary sub-committee will meet to hear complaints within 7 days of a
complaint being lodged. Any member requested to attend a Disciplinary sub-committee shall be entitled to be accompanied by a friend or other representative and to call witnesses. The sub-committee has the power to take appropriate
disciplinary action, including the termination of membership.
12d. The outcome of the disciplinary hearing shall be put in writing to the person who
lodged the complaint and the member against whom the complaint was made within 7 days following the hearing.
12e. There shall be a right of appeal to the Club members against either the finding or the sanction imposed or both following disciplinary action being taken. The members shall appoint an Appeals Committee (a maximum of three) which shall not include members involved with the initial disciplinary hearing but may include non members of the club. The Appeals Committee shall consider the appeal within 7 days of the Secretary receiving the appeal. The individual submitting the appeal shall be entitled to be accompanied by a friend or other representative and to call witnesses. The decision of the Appeals Committee shall be final and binding on all parties.
13. Match Arrangements
13a. Each member of the Club who plays in a Club-arranged fixture will pay a ‘match fee’. This will be collected by the Team Captain, or the Captain’s representative, during the game. The amount of match fees will be decided at the Annual General Meeting or by the members for each season.
13b. A record of match fees collected will be made by the Team Captain/representative and that record, together with the fees, will be forwarded to the Club Treasurer. The Team Captain/representative should prepare a
summary of match fees received and expenses paid and present this information to the Treasurer.
14. Dissolution
14a. If at any meeting of the club, a resolution be passed calling for the dissolution of the club, the Secretary shall immediately convene a Special General Meeting of the club to be held not less than one month thereafter to discuss and vote on the resolution.
14b. If at that Special Meeting, the resolution is carried by at least two-thirds of the Full Voting Membership present at the meeting, the members shall thereupon, or at such date as shall have been specified in the resolution, proceed to realise the assets of the club and discharge all debts and liabilities of the club.
14c. The members will then be responsible for the orderly winding up of the club’s
affairs.
14d. After settling all liabilities of the club, the members shall dispose of the net assets remaining to one or more of the following:
1. to another club with similar sports purposes which is a registered charity and/or
2. to another club with similar sports purposes which is a registered Community
Amateur Sports Club and/or
3. to the club’s governing body for use by them for related community sports.
17. Declaration
Blackwell Miners Welfare Cricket Club hereby adopts and accepts this Constitution as a current operating guide regulating the actions of all members.
