Constitution of the Tower Hill Householders Association
(Revised November 2000)
1. Name
Tower Hill Householders Association (hereinafter termed 'the Association').
2. Objects
(a) To maintain such open spaces, grass verges, trees, shrubs, woodlands and hedges on
the estate as have not or will not be adopted and maintained at public expense.
(b)To safeguard, and improve if necessary, the amenities of the estate.
3. Eligibility for membership
Since it is a legal requirement to carry out object (a) above, the owner of the buildings of each household on the estate shall nominate one person to be a member of the Association.
4. Management of the Association
Shall be entrusted to a committee consisting of a Chairman, Honorary Secretary, Honorary Treasurer, and 3 other members with the power to co-opt any other Association member as may be necessary in connection with specified projects. A quorum shall consist of 4 people at least one of whom shall be an officer.
5. Annual General Meeting
There will be an Annual General Meeting (AGM) of the Association each year, normally held in the first 14 days of November.
6. Proposal of candidates for the committee At each AGM, serving commiftee members shall resign, but may stand for re-election if they so wish. Candidates for committee members must be proposed and seconded by at least one member of the Association. The name of each candidate with the names of his proposer(s) and seconder(s) should be sent in writing to the Honorary Secretary before the 10th October preceding the date of the Annual General Meeting and shall be printed on the notice convening the meeting.
7. Proposals in default of notice
lf no names or an insufficient number of names for election be received by the Honorary Secretary by the 10th day of October, candidates may be proposed at the Annual General Meeting without notice.
8. Election of committee members
lf more than the required number of people are proposed and seconded, then etection shall be by Vote.
9 Elegtion of officers
At the committee meeting following the AGM, offtcers shall be elected by the committee members by vote. Any committee member may be elected to the post of one of the officers only. lf possible, the election shall be conducted by a committee member who does not intend to stand for election to the position of an officer.
1 0. Extraordinary meetings
May be convened at any time and shall be convened within 21 days on the requisition of at least ten members of the Association given in writing to the Honorary Secretary. Such a request must state the purpose for which such meeting is required.
11. Notice of Meetings
The Honorary Secretary shall, at least ten days before any General Meeting, send to each household a notie of the meeting stating the time when and the place where it will be held and the business to be induded. '
12. Votes
13. Annual Subscription
The subsciption shall be the amount determined at the Annual General Meeting preceding the calendar year for which the subscription is payable. All subscriptions are due by July 31st, and if paid before the 1st July and lst April a reduced and further reduced subscription of respective amount to be determined at such Annual General Meting will be accepted.
The Committee wil ltake such action as is considered necessary to enforce payment of outstanding subscriptions after 31st July.
14. Modification of Rules
No alteration or addition to the rules shall be made except by ballot carried by a majority of at least two thirds of the rnembers present at a general meeting, the notic e of which shall have oontained particulars of the proposed alteration or addition.
15. Accounts
Full accounts of the financial afiairs of the Association fully audited by the 2 Honorary Auditors appointed at the Annual General Meeting shall be delivered to each household with a notice convening the Annual General Meeting. The accounting year shall run from 1st October annually.
16. Trustees
All property of the Association shall be rested in three trustees who shall be appolnted by the committee and the property of fte Association shall be rested in them to be dealt with by them as the committee may from time to tlme direct by resolution (of which an entry in the minute book shall be conclusive evidence). The Trustees shall be indemnifted against risk and expense out of the Association property. The Trustees shallhold office until death or resignation or unlil removed from office by the committee. Whereby result of such death, resignation or removal it is neessary that a new Trustee or Trustees be appointed the Committee shall nominate the person or persons to be appointed the new Trustee or Trustees. For the purpose of giving efiect to such nomination the Chairman of the Association committe for the time being is hereby nominated as the person to appoint new Trustees of the Association within the meaning of Section 36 of the Trustee Act 1925 and he shall by deed duly appoint the person or persons so nominated by the Cornmittee.
17. Gender within this constitution, vuhere the masculine so admits this shall include the feminine.
18. Choice of Law This constitution shall be construed within the the laws of England.

Paragraph 15 (Accounts) of the Constitution is hereby deleted and replaced with the
following:-
15. Accounts
Full Accounts of ths financial affairs of the Association fully audited by the two Honorary Auditors appointed at the Annual General Meeting shall be presented at each Annual General Meeting. The accounting year shall run from 1 October annually.
